Terms and Agreement
This agreement is between Talkilla Education Inc. (Talkilla) registered in Beijing under the laws of People’s Republic of China and You (Candidate). Only those Candidates who pass Talkilla teacher interview and receive official emails from talkilla@talkilla.org to confirm your teaching hourly rate will become Talkilla teachers (Teacher). Talkilla usually don’t send emails to candidates who are not selected to attend interview or fail the interview.
Talkilla is an online English school who provides foreign language training services to Chinese students over internet; Teacher agrees to conduct language classes on behalf of Talkilla to students assigned by Talkilla. Teacher also agrees to commit a minimum of 4 hours in average each week to Talkilla students. Talkilla agrees to send students to Teacher's demands from time to time if Teacher's schedule allows.
Teacher agrees that all services will be rendered as independent and that this agreement does not create an employer-employee relationship between Teacher and Talkilla. Teacher shall have no right to receive any employee benefits including, but not limited to health and accident insurance, life insurance, sick leave and or vacations. Teacher agrees to pay all PaylPal or Payoneer transaction fee and taxes including self-employment taxes due in respect of the Tuition Fee under this agreement and local laws; Teacher shall indemnify Talkilla in the event that Talkilla is required to pay any such taxes on behalf of Teacher.
The term of this agreement is 12 months commencing from the date you register at Talkilla web site. Upon termination of this agreement, it will be automatically renewed and extended for another 12 months if Teacher agrees to continue teaching students from Talkilla.
Your teaching hourly rate will be further discussed and agreed during the interview. Talkilla shall pay Teacher a tuition fee by your teaching hours each month. The fee shall be paid into Teacher’s PayPal or Payoneer account at a monthly basis no later than 15th of each calendar month for the training hours happened in previous month.
Teacher shall commit at least 6 months of online teaching with Talkilla since the first effective lesson date prior to any early termination. After 10 months, this Agreement may be terminated without any causes by either party no less than 30 days by written notice from either party to the other. In any cases, upon Talkilla’s request, the Teacher shall start transferring all the students' training information to Talkilla based on a mutually agreed transition plan after a written notice received by Talkilla.
Talkilla shall give inputs to Teacher how to improve online teaching skills upon student’s feedback, and reserve the right to terminate this agreement anytime if Teacher receives three or more than three complaints from students within 3 months. Upon such abnormal termination, a 50% of Teacher’s tutoring fees from last month shall be deducted.
Teacher agrees to provide a self-statement and a short video to Talkilla who is authorized by Teacher for usage in social media or web sites only for purpose of introducing Teacher and Talkilla to potential students and tutors.
Teacher agrees to provide a 20-minute trial lesson free of charge to each new student assigned by Talkilla and write an evaluation report to feedback the student’s English level and suggestions of lesson plan.
The teacher shall check his/her email box, Skype IM and Talkilla Online Teaching Management System (esl.talkilla.org) daily and shall confirm in a timely manner any messages received from Talkilla or students, including but not limited to any updates or changes in the class schedule, student leave requests, customer feedback, etc.
A leave request thru esl.talkilla.org is required for both Teacher and students to the other party at least 12 hours in advance prior to the scheduled class time. Otherwise, it will be considered as absence. If the leave is more than two weeks (included) Talkilla shall be noticed at least one week in advance in order to find substitute teacher.
Be strictly on time for the scheduled class, late arriving and early leaving are not allowed. 15 minutes late or early leaving without prior notice will be considered as absence. If the student doesn’t show up for the first 5-10 minutes it is the Teacher’s responsibilities for remind Talkilla by sending an instant message over Skype.
Both teacher and student can excuse himself/herself from absence by showing that the absence is out of control(including but not limited to sudden illness, car accidents or power failure & etc.). Under these circumstances urgent notification is required with your best efforts.
If you encounter any problems that lead to a sudden offline (including but not limited to power failure or computer crash) during a lesson, please report your problems via mobile Skype phone call, IM or texting Talkilla contacts as soon as possible. Sudden offline for more than 15 minutes without necessary notification will be treated as early leaving and absence. This circumstance shall not be expected to recur for more than twice within 12 months.
Teacher is responsible to set Status of each session at Talkilla Online Teaching Management System after each season ends
Here are the status definition:Neither party shall disclose the terms and conditions of this Agreement or the pricing contained herein to any third party, except as may be required by law, regulation, or other governmental authority, and except that each party may disclose such information to its attorneys, accountants, and business advisors who are obligated to keep such information confidential. Neither party shall use the name of the other party in publicity, advertising, or similar activity, without the prior written consent of the other.
